These Terms of Service ("Terms") describe the rights and obligations of Role Labs, Inc., a Delaware corporation ("Role") and its users ("Users") related to Role’s provision of its services (the "Services").


1. Services

2.4. Effect of Termination. Upon termination, Users will lose access to the Services and any associated data. Role may retain a copy of the User's data for legal or administrative purposes.


3. Content


3.1. User Content. Users are solely responsible for the content they create, upload, or share through the Services ("User Content"). Users represent and warrant that they own all rights to their User Content or have obtained necessary permissions from third parties.


3.2. Role Content. Role owns all rights to the content it provides through the Services ("Role Content"). Users may access and use Role Content solely for their personal, non-commercial use as permitted by these Terms.


3.3. Restrictions on Use. Users may not:

  • Use the Services for any illegal or unauthorized purpose.

  • Access, modify, or attempt to access or modify any portion of the Services or its systems, except as expressly permitted by Role.

  • Use any automated means, including scripts or bots, to access or interact with the Services.

  • Attempt to interfere with the proper functioning of the Services.

  • Violate the intellectual property rights of Role or any third party.

  • Engage in any activity that is harmful, harassing, or offensive to others.


4. Intellectual Property


4.1. Role's Intellectual Property. Role owns all rights, title, and interest in and to the Services, including all intellectual property rights associated with them.


4.2. User Content Rights. By submitting User Content, Users grant Role a non-exclusive, perpetual, worldwide, royalty-free license to use, copy, modify, adapt, publish, translate, distribute, publicly display, and publicly perform such User Content in connection with the Services and Role's business operations.


5. Disclaimers


5.1. Services "As Is." The Services are provided "as is" and without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or title.


5.2. No Guarantee of Availability. Role does not guarantee that the Services will be available at all times or that they will be uninterrupted or error-free.


5.3. Third-Party Content. The Services may contain links to third-party websites or services. Role is not responsible for the content, privacy practices, or availability of such third-party websites or services.


6. Limitation of Liability


6.1. Exclusions. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROLE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ROLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


6.2. Disclaimers. Role is not responsible for:

  • Any errors or omissions in the Services or Role Content.

  • Any loss or damage to User Content or data.

  • Any harm caused by the use or misuse of the Services.

7. Indemnification


Users agree to indemnify, defend, and hold harmless Role, its officers, directors, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, costs, and expenses (including attorney's fees) arising out of or relating to:

  • User's breach of these Terms.

  • User Content.

  • User's use of the Services.

  • User's violation of the rights of any third party.


8. Governing Law and Dispute Resolution


8.1. Governing Law. These Terms will be governed by and construed in accordance with the laws of the State of [State of Incorporation], without regard to its conflict of laws provisions.


8.2. Dispute Resolution. Any dispute arising out of or relating to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). 9.3. Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck from these Terms and the remaining provisions will remain in full force and effect.


9.4. Notices. Any notices required or permitted hereunder will be in writing and will be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by reputable overnight courier service with written confirmation of delivery.


9.5. Assignment. These Terms may not be assigned by Users without the prior written consent of Role. Role may assign these Terms without the consent of Users.


9.6. Third-Party Beneficiaries. These Terms do not create any rights or remedies for any third party.
